Fathom Holdings Inc. and Neighborhood Intelligence Inc. (formerly known as Bed Bath and Beyond prior to an August 2026 name change) are pivoting from a full merger to a stock-for-assets transaction that would combine Fathom’s national brokerage and title platform with roughly $130 million of Neighborhood’s digital asset holdings, including its stake in tZERO Group Inc. In late September, the companies announced that they have agreed to pursue a “Proposed Alternative Transaction” to replace their June 16, 2026, merger agreement. This deal was an all-stock transaction valuing Fathom at about $53.38 million. Under the new structure, Neighborhood Intelligence would contribute substantially all of its digital asset portfolio to Fathom in exchange for newly issued Fathom shares. Neighborhood Intelligence’s contributed assets would include its approximately 38.8% direct and indirect ownership interest in tZERO, Medici-related fund assets and its direct investment in agtech and supply-chain platform GrainChain.
